6 Charter of INAP

PREAMBLE
Recognizing the pioneering efforts of the Minister of Port Development, Rehabilitation and Reconstruction of Sri Lanka, Hon. M. H. M. ASHRAFF and the Governor of Kochi Prefectural Government of Japan, Hon. DAIJIRO HASHIMOTO and regarding them as its founding fathers, there shall be established an organization of affiliated ports for the purpose of promoting, coordinating and implementing activities of mutual interest in order to develop a friendly and harmonious relationship among members, exchange information, provide mutual help and assistance to ensure smooth and unhindered operations and progress of the organization and its members.

Article 1
NAME OF THE ORGANIZATION
The name of the organization shall be 'The International Network of Affiliated Ports' (hereinafter referred to as INAP).

Article 2
VISION AND OBJECTIVES
[Vision]
The long-term vision of INAP shall be to help in the realization of an environmentally- friendly society and a peaceful and harmonious earth, whilst upholding the principles of friendly, harmonious co-existence among members.
[Objectives]
In order to realize the vision, the objectives of INAP are:

1. To formulate a network among the member ports by integrating each individual affiliated-port relationship.
2. To promote activities of the member ports and to make each individual affiliated-port relationship more meaningful by exchanging information on port development, promotion and management among members.
3. To establish mutual relationships among the different regions of the member ports and to strengthen economic and cultural relationships among such regions.

Article 3
PROJECTS
INAP shall implement the following items in order to achieve its objectives.

1. To hold a General Assembly
2. To publish regular bulletins and the minutes of the General Assembly
3. To provide opportunities for members to exchange information at the General Assembly.
4. To afford opportunities for members to request a special committee be formed to study and report on port development, promotion and management.
5. Other activities as may be required for achieving the objectives of INAP.

Article 4
MEMBERS AND MEMBERSHIP
[Members]

1. INAP's founding members are the Port of Colombo in Sri Lanka, the Port of Kochi in Japan, the Port of Qingdao in the People's Republic of China, the Port of Subic Bay in the Philippines and the Port of Tanjung Perak in Indonesia.
2. Eligibility to become a member is extended to ports that have established an affiliated-port-relationship with an INAP member.
3. Notwithstanding the aforesaid sub-paragraphs,any port that agrees the INAP Charter and is approved by the INAP General Assembly shall be eligible as a member of INAP.

Article 5
ORGANIZATION
1. INAP shall have a Chairman.
2. INAP shall have a Secretariat.
3. INAP may select Honorary Advisors as may be required and approved at the General Assembly.
4. INAP shall have an Executive Committee selected from among the members.

Article 6
GENERAL ASSEMBLY
1. INAP shall hold a General Assembly once each year and an agenda of activities and budget for the year shall be determined by the General Assembly.
2. The General Assembly shall be open to members and invited guests.
3. The holding of the General Assembly, its agenda and activities shall be determined by the Secretariat in consultation with the Chairman.
4. Members may recommend proposals and ideas to be incorporated into the agenda.
5. Decisions at the General Assembly will be made by a majority vote of the attending members, without regard to the number of delegates.
6. Members may form smaller committees during the General Assembly for the purpose of discussing matters of mutual interest.

Article 7
ACTIVITIES
1. An agenda of activities for the year shall be determined by the General Assembly.
2. Other activities of INAP shall be determined by the Secretariat in consultation with the Chairman, from proposals made by any member of INAP.
3. All members shall support activities determined by the Secretariat.
4. The agenda may be varied or modified according to the request of any member.

Article 8
AMENDMENTS
1. Amendments to this Charter must be initiated by majority vote of the attending members, without regard to the number of delegates, and approved at the General Assembly.
